Serbest Film Distribution OTT Viewer Terms of Service Agreement

This Serbest Film Distribution OTT Viewer Terms of Service Agreement (“Agreement”) is between you and Independent Filmhouse LLC. (for the purposes hereof, “Serbest Film Distribution,” “we” or “us”). The Agreement governs your use of the “Serbest Film Distribution OTT Service,” an online platform that allows consumers like you to view video programs (“Programs”) from content owners and licensors (“Serbest Film Distribution”) through Serbest Film Distribution-branded websites and applications that we power.

1. Acceptance

By creating an account, viewing videos, making a purchase, downloading Serbest Film Distribution branded applications that we power, or otherwise visiting or using the Serbest Film Distribution OTT Service, you accept this Agreement and consent to contract with us electronically.

If you are an entity other than a natural person, the person who registers the account or otherwise uses the Serbest Film Distribution OTT Service must have the authority to bind the entity. In this context, “you” means both the entity and each person who is authorized to access the account.

We may update this Agreement by posting a revised version on our website. By continuing to use the Serbest Film Distribution OTT Service, you accept any revised Agreement. You may terminate the Agreement at any time by deleting your account. We reserve the right to suspend or terminate your account for your breach of the terms hereof.

2. Accounts

Registration: You must create an account to use certain features we offer (e.g., to view a Program). To do so, you must provide an email address. By creating an account, you agree to receive notices from Serbest Film Distribution you purchase at this email address.

Age Requirements: You may not create an account if you are younger than 16 years of age. By creating an account, you represent that you are at least 16 years of age, and, to the extent required by law, you have the permission of a parent or guardian to create an account and use the Serbest Film Distribution OTT Service.

Parents and Guardians: By granting your child permission to use the Serbest Film Distribution OTT Service through your account, you agree and understand that you are responsible for monitoring and supervising your child's usage.

Account Security: You are responsible for all activity that occurs under your account, including unauthorized activity. You must safeguard the confidentiality of your account credentials.

3. Privacy

Please review our Privacy Policy to learn about the information we collect from you when you use the Serbest Film Distribution OTT Service, how we use it, and with whom we share it.

4. Program Viewing and Purchase Options

Serbest Film Distribution may offer the following purchase options through our branded websites and applications:

Rental: After paying the stated fee, you may watch the Program an unlimited number of times during the stated rental period.

Subscription: For a recurring fee, you may watch the Program an unlimited number of times during the stated rental period. The Producer (content owner) may add or remove Programs from the channel at any time.

ALL PURCHASES, INCLUDING RECURRING CHARGES, ARE FINAL AND NON-REFUNDABLE.

Free trials and Discounts: Serbest Film Distribution may offer free-trial or discounted subscriptions. When a free-trial period ends, your paid subscription begins (unless you have cancelled) and you must pay the full monthly or annual fee. If a Producer (content owner) provides a discount for the first subscription period, you must pay the discounted fee; in any renewal, you must pay the full fee.

Automatic Renewal: To the extent permitted by applicable law, subscriptions automatically renew for the subscription period until you cancel. Your payment method will be charged at the beginning of each subscription period. If a Purchaser offers a free-trial period, your payment method will be charged at the end of the free-trial period unless you cancel before the end of that period.

How to Decline Renewal: To pause or cancel a subscription, visit your account settings. Your changes will be applied to your next subscription period.

5. Licenses and Intellectual Property.

License to Programs: Subject to the terms hereof, you have the right to watch for your personal entertainment purposes: (i) Programs that you have rented during the stated rental period; (ii) Programs made available within the Serbest Film Distribution platform that you have subscribed to during your subscription period.

Restrictions: You may not resell streams or downloads, use any Program for any commercial purpose, redistribute or retransmit any Program, publicly perform or display any Program, or make derivative works from any Program. All rights not expressly granted herein are reserved by the applicable Producer (content owner).

Serbest Film Distribution OTT Service: Subject to the terms hereof, Serbest Film Distribution grants you permission to use the Serbest Film Distribution OTT Service for the sole purpose of viewing Programs for your personal entertainment. All rights not expressly granted by Serbest Film Distribution are reserved.

Your Content; Feedback: To the extent that you submit any content to Serbest Film Distribution (i.e. in your profile, a comment, or forum), you grant Serbest Film Distribution an irrevocable, worldwide, non-exclusive, royalty-free, perpetual right and license to use, copy, adapt, transmit, distribute, license, and publicly perform and display such content in all media for any purpose whatsoever. Any content submitted must comply with the Acceptable Use Policy set forth in Section 6. If you make suggestions to Serbest Film Distribution on improving our products or services, Serbest Film Distribution may use your suggestions without any compensation to you.

6. Acceptable Use Policy

We may allow you to upload, submit, or publish content such as images, comments and text (collectively, "content"). You must ensure that your content, and your conduct, complies with the Acceptable Use Policy set forth in this Section 6. Serbest Film Distribution may (but is not obligated to) monitor your account, content, and conduct, regardless of your privacy settings. Serbest Film Distribution may take all appropriate actions to enforce this Acceptable Use Policy including removing specific videos or suspending or removing your account.

6.1 Copyright Policy

We may only upload content that you have the right to upload and share. Copyright owners may send Serbest Film Distribution a takedown notice as stated in our Copyright Policy if they believe Serbest Film Distribution is hosting infringing materials. We will, in appropriate circumstances, terminate the accounts of persons who repeatedly infringe.

6.2 Content Restrictions

You may not submit any content that:
Infringes any third party’s copyrights or other rights (e.g., trademark, privacy rights, etc.);
Is sexually explicit (e.g., pornography) or proposes a transaction of a sexual nature;
Is hateful, defamatory, or discriminatory or incites hatred against any individual or group;
Promotes or supports terror or hate groups;
Depicts unlawful acts or extreme violence.

7. Warranties and Limitations on Liability.

The Serbest Film Distribution service is provided "as is" and without warranty or condition. In particular, our service may not be uninterrupted or error-free. You waive all special, indirect and consequential damages against us. These terms will not limit any non-waivable warranties or consumer protection rights that you may be entitled to under the mandatory laws of your country of residence.

8. Indemnification.

You shall indemnify, defend, and hold harmless Serbest Film Distribution and its parent, directors, officers, employees, representatives, consultants, agents, suppliers, and partners (including Independent Filmhouse LLC) from any liability, claim, demand, damages, losses, and costs (including attorneys’ fees) arising from: (i) your unauthorized use of any Program; (ii) your breach of this Agreement or violation of any law or third-party right; or (iii) any content that you upload or submit to us.

9. Class Action Waiver.

WHERE PERMITTED UNDER THE APPLICABLE LAW, YOU AND SERBEST FILM DISTRIBUTION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, where permitted under the applicable law, unless both you and Serbest Film Distribution agree otherwise, the court may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.

10. General Provisions.

Unsolicited Materials: Serbest Film Distribution does not accept unsolicited materials or ideas for Serbest Film Distribution content and is not responsible for the similarity of any of its content or programming in any media to materials or ideas transmitted to Serbest Film Distribution.

Choice of Law: Any disputes relating to this Agreement or your use of the Serbest Film Distribution OTT Service will be governed by the laws of Wyoming State and the United States of America (with respect to matters subject to federal jurisdiction such as copyright), without regard to principles of conflicts of law. The Uniform Commercial Code, the Uniform Computer Information Transaction Act, and the United Nations Convention of Controls for International Sale of Goods shall not apply.

No Waiver: The failure of Serbest Film Distribution (or any Producer) to exercise or enforce any term of this Agreement will not constitute a waiver of such term.

Provisions Severable: If any term of this Agreement is held invalid or unenforceable, that term will be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining terms will remain in full force and effect.

No Third Parties: No third parties shall have any rights under this Agreement, except that Serbest Film Distribution may enforce the terms herein against you, and indemnified parties may enforce indemnification rights.

Entire Agreement: This Agreement incorporates by reference the Serbest Film Distribution Privacy Policy, and Copyright Policy.

This Agreement sets forth the entire understanding between you and Serbest Film Distribution concerning your use of the Serbest Film Distribution OTT Service and supersedes all prior agreements regarding the same. This Agreement may only be modified by us. Any changes will be posted to the Serbest Film Distribution website and will apply prospectively.

Electronic Communication: We will send you information relating to your account (e.g. payment authorizations, invoices, changes in password or payment method, confirmation messages, notices) in electronic form only, for example via emails to your email address provided during registration.

1. Introduction

This Privacy Policy describes how Independent Filmhouse LLC (“Serbest Film Distribution”) a Wyoming company, will gather, use, and maintain your personal information. It will also explain your legal rights to control use of that information.

Serbest Film Distribution values the privacy of all of our communities. This Privacy Policy applies to users of Serbest Film Distribution platform, including users of websites, streaming services, apps, features, or other services (collectively, the “Serbest Film Distribution platform”) This Privacy Policy specifically applies to filmmakers who stream from our platform, and to individuals and consumers who subscribe to content on our platform, engage in videos on our platform.

By using the Serbest Film Distribution platform, you confirm that you have read and understand this Privacy Policy, and our Terms of Service, (together referred to herein as the “Agreement”).  The Agreement governs the use of the Serbest Film Distribution platform. Serbest Film Distribution will gather, use, and maintain information consistent with the Agreement.

2. General Terms and Definitions

In this Privacy Policy:

1. Serbest Film Distribution may be referred to as “SIFF,” “we,” “our,” or “us.”

2. We call a user of the Serbest Film Distribution Platform a “User,” or collectively, the “Users.”

3. “You” and “your” refer to an individual User of the Serbest Film Distribution platform.

4. The community platform that we offer at our website (www.serbestdistribution.com) is referred to as the “Site.”

5. The platform and related services provided by Serbest Film Distribution, the Site and mobile applications (whether on iOS or Android), including without limitation information provided by Serbest Film Distribution to potential and actual Users in relation to the services, together are called the “Serbest Film Distribution platform.”

6. Content owner and licensors are referred to as “Producer(s)” and their video programming offered to consumers on Producer-branded websites and applications are referred to as a “Producer Channel.”

7. “Terms of Service” refers to our Terms of Agreement which can be found at www.serbestdistribution.com. This Privacy Policy is incorporated into, and considered a part of, the Terms of Service.

3. Overview

The Serbest Film Distribution platform is powered by Uscreen with the HQ in Washington, D.C. Uscreen provides an online platform (the “Serbest Film Distribution platform” or “our service”) that allows video content Producers to offer their video programming to consumers.

4. What Information Does Serbest Film Distribution Collect?

When you use Serbest Film Distribution, we collect information relating to you and your engagement of our platform from a variety of sources, including those listed below:  

Personal Information. Serbest Film Distribution collects personal information including your name, address, username, email address, and bank account and other financial information that you voluntarily share with Serbest Film Distribution when you create an account on the platform.

Device Information. Serbest Film Distribution collects information about the computer or device you’re using to access the platform, including but not limited to, the type of computer or mobile device you use, your mobile device’s unique device ID, the IP address of your computer or mobile device, your operating system, the type of internet browser you use, and information about the way you use the Serbest Film Distribution platform (“Device Information”). Serbest Film Distribution may use Device Information to monitor the geographic regions from which users navigate the platform and for security and fraud prevention purposes.

Other Data You Intentionally Share. We may collect your personal information or data if you submit it to us in other contexts. For example, if you submit video for streaming on our platform or for inclusion in a film festival, Serbest Film Distribution will retain all information related to those activities.

Financial Information. To help consumers set up a payment account we may collect financial information, including name, address, credit card number, bank routing numbers, tax information, and any other payment information (“Financial Information”).

Information From Third Parties. We may collect your personal information or data from third parties if you give permission to those third parties to share your information with us.

5. How Does Serbest Film Distribution Use Your Information?

The Personal Information that Serbest Film Distribution and/or Uscreen collects is essential to the operation of the Serbest Film Distribution platform. We use the information provided by you for the following purposes:

      5.1 Providing Serbest Film Distribution Services.

1. Creation of User profiles. We use your Personal Information to verify your identity and create your account and user profile on the Serbest Film Distribution platform from which you can access services;

2. Operation of the Serbest Film Distribution platform. We use your Personal Information to analyze how the platform is being used and the quality of the video product offered;

3. Processing Payments. Serbest Film Distribution may use your Personal Information to process payments and fulfill orders to deliver video programming and other services to you;

4. Customer Support. Serbest Film Distribution may use your Personal Information to provide you with customer support either as an platform user or Producer;

5. Complaint and Dispute Resolution. Serbest Film Distribution may use your Personal Information in the identification of complaints and disputes involving Users or Producers.

      5.2 Safety and Security.

1. Billing and Fraud Prevention. Your Personal Information allows Serbest Film Distribution to ensure a safe and secure environment in which Users and Producers may transact video business;

2. Legal Proceedings and Requirements. Serbest Film Distribution may use your Personal Information in any legal proceeding it is required to or as a means of cooperating with law enforcement with any legitimate investigation;

     5.3 Communication and Site Performance.

1. To Contact Users and Producers. Serbest Film Distribution may user your Personal Information to contact you and deliver (via email, SMS, push notifications, or otherwise) administrative notices, marketing notifications, offers, and communications relevant to your use of the Serbest Film Distribution platform.

2. Analyzing the Serbest Film Distribution platform Usage. In our effort to improve the platform, Serbest Film Distribution may use your Personal Information to analyze site usage;

      5.4 Research, Advertising, and Marketing.

1. Digital Advertising and Marketing. Serbest Film Distribution may analyze your information and web navigational data based on your interests, and may use the analysis from this information in a way that doesn’t reveal a name, email address or other "real-world" identity (“Market Analysis”) in order to market the Serbest Film Distribution platform.

6. How Serbest Film Distribution Shares Your Information

Generally. We will not disclose your Personal Information to third-parties, including for their direct marketing purposes, without your consent, except as explained in this Privacy Policy or permitted by law. We may disclose to third-parties certain Usage Data regarding the Site and Services. However, in such cases, your Usage Data is aggregated with the Usage Data of others and does not identify you individually.

Email Communication From Producers. When you purchase a subscription, you may agree to receive emails from the Producer. If you decide you no longer wish to receive these emails, you may opt out as instructed in each email or in your account settings.

Third-Party Providers. From time to time we may establish a business relationship with other businesses whom we believe are trustworthy and who we believe have privacy practices that are consistent with ours (“Third-Party Providers”).  These Third-Party Providers may include, but are not limited to,  site hosting and maintenance providers, payment processing services, customer relationship management services, fraud detection services, marketing and promotion specialists, data storage and management providers.  Third-Party Providers are prohibited from using Personal Information other than as specified by us.

Joint Services. We may provide services jointly with other companies. In some cases, to facilitate such services, it may be necessary to share your Personal Information with such other companies. Before we do so, we will identify the partner, present the joint service provider’s privacy policy to you before you use that service, and obtain your permission to share your Personal Information.

When Compelled by Legal Obligations. Serbest Film Distribution may disclose Personal Information including location data or communication data, to a third party if required to do so by law or pursuant to a court order, warrant or subpoena.

Choice / Opt Out. You may opt-out of receiving communications from us and our partners, remove your information from our database, choose to not receive future communications related to the Serbest Film Distribution platform, or cancel your account by logging into your Account or by contacting us.

1.  You consent to the collection, use, disclosure and processing of your Personal Information in the manner described in this Privacy Policy, including our policy related to cookies, IP addresses and log files.

The Serbest Film Distribution service, including all content provided on the Serbest Film Distribution platform, is protected by copyright, trademark, trade secret or other intellectual property laws and treaties.

The copyrights in the content on our service are owned by many producers and production companies.

This Serbest Film Distribution OTT Copyright Policy forms part of the Serbest Film Distribution OTT Viewer Terms of Service and sets out the procedures for removal of allegedly infringing material by copyright owners and their agents.

1. DMCA Policy

Serbest Film Distribution respects the intellectual property of others and expects its users to do the same. Each user must ensure that the materials they upload do not infringe any third-party copyright. Serbest Film Distribution will promptly remove materials in accordance with the Digital Millennium Copyright Act (“DMCA”) when properly notified that the materials infringe a third party's copyright. Serbest Film Distribution will also, in appropriate circumstances, terminate the accounts of repeat copyright infringers.

In filing any request, please ensure that your notice is complete and that your statements are accurate. If we request additional information necessary to make your notice complete, please provide that information promptly. If you fail to provide the required information, your request may not be processed further.

2. DMCA Takedown Notices

To request the removal of materials based upon copyright infringement, you must file a notice containing the following:

1.      Your name, address, telephone number, and email address (if any).

2.      A description of the copyrighted work that you claim has been infringed.

3.      A description of where on Serbest Film Distribution service the material that you claim is infringing may be found, sufficient for Serbest Film Distribution to locate the material (e.g., the URL for the video).

4.      A statement that you have a good faith belief that the use of the copyrighted work is not authorized by the copyright owner, its agent, or the law.

5.      A statement by you UNDER PENALTY OF PERJURY that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

3. DMCA Counter-Notifications

If you are a Serbest Film Distribution user who wishes to challenge the removal of materials caused by a DMCA takedown notice, you must file a counter-notification containing the following:

1.      Your name, address, and telephone number.

2.      A description of the material that was removed and the location on Serbest Film Distribution service where it previously appeared (e.g., the URL of the video).

3.      A statement UNDER PENALTY OF PERJURY that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification.

4.      A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or if your address is outside of the United States.

5.      Your electronic or physical signature.

4. Repeat Infringers

Serbest Film Distribution will terminate user accounts that receive three (3) DMCA strikes. A “DMCA strike” accrues each time that material is removed from a user’s account due to a DMCA notice. We may group multiple DMCA notices received within a short period of time as a single DMCA strike.

We may remove a DMCA strike in appropriate circumstances, such as where (1) the underlying material is ultimately restored due to a DMCA counter-notification; or (2) the claimant withdraws the underlying notice.

We may terminate user accounts that receive fewer than three (3) DMCA strikes in appropriate circumstances, such as where the user has a history of violating or willfully disregarding our terms of service.
